These Terms and Conditions apply to all projects undertaken by Magenta Photography Ltd (“Magenta”, “we”, “us”, or “our”).
By commissioning Magenta to carry out any work, you (“the client”) agree to these terms.
Quotations & Payment
All quotes are valid for 30 days unless otherwise stated.
A 50% deposit is required before work begins. This payment secures Magenta’s time and resources and is non-refundable once work has started.
The remaining balance is due within 30 days of final delivery or 90 days from the project start date, whichever comes first.
Retainer clients are invoiced monthly, with 30-day payment terms.
If delivery is delayed due to client-side factors (such as delayed feedback, approvals, or supply of assets), Magenta reserves the right to issue the final invoice based on work completed to date.
Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, plus any reasonable recovery costs.
All prices are exclusive of VAT unless otherwise stated.
Project Scope & Changes
Estimates are based on the agreed brief.
Any changes, additions, or new deliverables outside the agreed scope will be quoted separately.
Unless otherwise agreed in writing, each project includes a reasonable number of revisions (typically up to two rounds per stage). Additional revisions or significant scope changes may be quoted separately or charged at Magenta’s standard hourly rate.
Delays caused by late feedback or supply of materials may affect timelines and budgets.
Cancellation & Refunds
The 50% deposit is non-refundable once work has started.
If a project is cancelled, all work completed up to that point will be invoiced at our standard rates.
Refunds will not be issued for client change of mind, internal restructuring, or financial difficulties.
Magenta may pause or terminate work if invoices remain unpaid, or if the client fails to provide required information or approvals.
Copyright & Ownership
Magenta retains copyright on all creative work unless a written copyright transfer agreement has been signed and, where applicable, a separate transfer fee (typically 20% of the total project fee) has been paid.
Clients are granted a licence to use the final deliverables for the agreed purpose once full payment has been received.
Unless otherwise agreed in writing, all licences granted by Magenta are exclusive, worldwide, and perpetual, covering all platforms and media.
Editable or source files (e.g. layered artwork, design files, motion project files, etc.) are not supplied by default. These can be released under a separate licence or buy-out agreement, subject to an additional fee.
Magenta reserves the right to reuse design systems, frameworks, or motion concepts developed during a project, provided they do not disclose the client’s confidential information.
Retainers & Ongoing Work
Any future retainers will be agreed in writing, outlining deliverables and duration.
Unused retainer time may be rolled over for up to six (6) months, unless otherwise agreed.
Cancellation of retainers requires 30 days’ written notice.
Retainer fees are non-refundable once the monthly cycle has begun.
Subcontractors
We may engage trusted third-party partners (such as animators, illustrators, or developers) to support delivery.
While Magenta manages overall quality, we are not liable for third-party delays or issues outside our control.
Showcasing Work
Magenta reserves the right to feature completed work in our portfolio, website, showreels, and case studies.
We always respect NDAs or confidentiality agreements, and will not share sensitive or restricted work without written consent.
Liability
We take great care to deliver high-quality work, but Magenta shall not be liable for indirect, consequential, or financial losses arising from the use of our work or any project delay.
Our total liability is limited to the total fees paid for the project.
Confidentiality
Both parties agree to keep all confidential information shared during the project private and not disclose it to any third party without consent.
This does not apply to information already public or required to be disclosed by law.
Termination
Either party may terminate this agreement with written notice if the other materially breaches its obligations and fails to remedy within 14 days of receiving notice.
All work completed up to the termination date will be invoiced and payable in full.
Magenta may retain work or suspend services until outstanding payments are settled.
Force Majeure
Magenta will not be held liable for any delay or failure to perform obligations due to circumstances beyond our reasonable control,
including natural disasters, strikes, illness, technical failure, or acts of government.
Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales.
Both parties agree that any disputes will be handled in the courts of England and Wales.
